This document sets out who may hold an account on the platform, and who may invest in a listed offering. The two are not the same gate: holding an account requires the first set of conditions below; investing requires all of them.

4. Business (Entity) Investors

An entity investing on the platform is subject to the same investment-level requirements as an individual, verified and evidenced at the entity level rather than through any individual member of that entity. An entity's accreditation is established through the entity-level test applicable to its structure, not through the personal accreditation of any person who accesses the account on its behalf.

5. Additional Criteria an Organization May Apply

Consistent with standard practice for privately placed securities, an organization offering a token on the platform may decline to accept a specific prospective investor for its own offering, for a legitimate business reason. This does not affect that investor's standing anywhere else on the platform, and it never operates to permit an investor who does not meet Section 3 above to invest.

The platform does not prescribe the specific business reasons an organization may or may not rely on for such a decision, beyond requiring that the reason be legitimate and non-discriminatory in the sense required by applicable law.

6. What Lapses, and What Does Not

A lapsed verification blocks new investment. It does not restrict an existing holding. An investor whose ninety-day verification window has closed, or who no longer qualifies, retains full ownership of, and the ability to transfer or redeem (where applicable), tokens already held. A new verification is required only to make a further purchase.
